We are well versed in the structural aspects of associations and other not-for-profit entities, including tax and fiduciary duty issues.
We provide our association clients with a full range of general corporate services, and frequently draft and negotiate contracts to meet all manner of business needs for such clients. Without limitation, we have significant experience with development/licensing agreements, endorsement/sponsorship agreements, lease agreements (equipment and real property), and employment/non-competition agreements.
The advice we provide for our association and not-for-profit clients is diverse, including matters such as the organization and operation of for-profit subsidiaries and supported/supporting entities, fundraising activities, legal issues involving raffles, contests, sweepstakes, awards, sponsorships, tax matters (e.g., obtaining and maintaining tax-exempt status, private inurement, private benefit, intermediate sanctions, unrelated business income, etc.), security/privacy and other concerns relating to member information, and regulatory matters (e.g., securities and insurance licensing requirements).
